Welcome to Social Vandals' products and services are provided by Social Vandals Inc., a New York corporation (we will refer to Social Vandals, Inc. as "Social Vandals", "us," or "we"). These Terms of Use ("Terms") govern your access to and use of Social Vandals' website, and services (we'll call these our "Services"). Please read these Terms carefully, and contact us if you have any questions. By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy.
1. Using our Services.
You may use our Services only if you can form a binding contract or written agreement with Social Vandals, and only in compliance with these Terms and all applicable laws. When you create your Social Vandals prodile, you must provide us with accurate and complete information. Any use or access by anyone under the age of 13 is prohibited. If you are under the age of 18 or the age of majority as that is defined in your jurisdiction, you must use the Services under the supervision of a parent or legal guardian. If you open an account on behalf of a company, organization, or other entity, then (i) "you" includes you and that entity, and (ii) you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and bind the entity to these Terms, and that you agree to these Terms on the entity's behalf.
2. Privacy Policy
At Social Vandals, we care deeply about privacy. We believe in transparency, and we're committed to being upfront about our privacy practices, including how we treat your personal information. This policy is a part of our Terms & Conditions. By visiting the Site or using the service, you consent to our use of your personal and account information in the ways set out in this policy and in our Terms of Use. This policy only applies to Social Vandals' Site and Services. We are not responsible for the content or the privacy policies of any of our members, third-party websites, or apps.
Information Collected or Received
When you agree to use the service provided by Social Vandals, you are required to provide a valid email address and basic personal information to set up the customer profile. Depending on which Services you choose to use, Social Vandals may require additional information, including the access and log-in information to your social media accounts in order to provide the Services. No identifying information is displayed publicly. You may edit your information at any time by sending an email to info@socialvandals.com.
On occasion, Social Vandals will contact you. Primarily, these messages are delivered by email, and every account is required to keep a valid email address on file to receive messages. Social Vandals may contact you by telephone to provide customer support or for transaction related purposes if you give us permission to call you. You may update your contact preferences by sending us an email at info@socialvandals.com.
Social Vandals may also send you news or updates about changes to our Site or Services. From time to time, we may develop new types of messages and share them with you to inform you about our Services. Primarily, members will receive these messages via email, but you may choose to opt out of receiving different types of messages by notifying the team
Information Uses, Sharing & Disclosure
We respect your privacy. Social Vandals will not disclose your name, email address or other personal information to third parties without your consent, except as specified in this policy. We generally use the information to provide and improve our Services and products, for billing and payments, for identification and authentication, for general research and aggregate reporting.
Social Vandals limits access to your personal information by Social Vandals personnel to those whom we believe reasonably need that information to provide products or Services to you or in order to do their jobs.
Regardless of what country you reside in or supply information from, you authorize Social Vandals to use your information in the United States and any other country where Social Vandals operates. We rely on various authorized methods, including your consent, to enable us to transfer your personal data to the US (if you do not live in the US) and to other countries. Social Vandals may release your personal information to a third party in the following circumstances: to protect, establish, or exercise our legal rights or defend against legal claims; to comply with a subpoena, court order, legal process, or other legal requirement; or when we believe in good faith that such disclosure is necessary to comply with the law, prevent imminent physical harm or financial loss, or investigate, prevent, or take action regarding illegal activities, suspected fraud, threats to our property, or violations of Social Vandals' Terms of Use.
We also may disclose personally identifiable information to parties in connection with an investigation of fraud, intellectual property infringement, piracy, or other unlawful activity. In such events, Social Vandals may disclose a name, address, country, phone number, email address, and company name.
Social Vandals may engage third party companies and individuals (such as research companies, analytics and security providers) to help provide our Services. These third parties have limited access to your information only to perform these tasks on our behalf and are obligated to Social Vandals not to disclose or use your information for other purposes.
In some cases, Social Vandals may choose to buy or sell assets. In these types of transactions (such as a sale, merger, liquidation, receivership or transfer of all or substantially all of Social Vandals' assets), member information is typically one of the business assets that is transferred. If Social Vandals intends to transfer information about you, Social Vandals will notify you by email or by putting a prominent notice on the Site, and you will be afforded an opportunity to opt out before information about you becomes subject to a different privacy policy.
This policy does not apply to the practices of third parties that Social Vandals does not own or control, or individuals that Social Vandals does not employ or manage. Social Vandals is not responsible for the privacy or security practices of other websites on the Internet, even those linked to or from the Social Vandals Site or social media.
Data Retention
Social Vandals will retain your information only for as long as is necessary for the purposes set out in this policy, for as long as your account is active, or as needed to provide you Services. If you no longer want Social Vandals to use your information to provide you Services, you may close your account by notifying us at info@socialvandals.com. Social Vandals will retain and use your information to the extent necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
You may inform us of any changes or requests regarding your personal data, and in accordance with our obligations under applicable data protection law, we may update or delete your personal data accordingly. We'll respond to your request within a reasonable timeframe.

4. Your Account and User Content.
We claim no ownership or control over any content you submit, publish, or display using our Services ("Your Content"). We do not represent or guarantee the truthfulness, accuracy, or reliability of Your Content or content submitted, published, or displayed using our Services by any other user ("User Content"), derivative works from User Content, or any other communications posted by users nor do we endorse any opinions expressed by users. You acknowledge that any reliance on User Content will be at your own risk.
Here are a few rules about Your Content:
a. You understand that you are solely responsible for Your Content. You represent that you have all necessary rights to Your Content and that you're not infringing or violating any third party's rights by posting it.
b. By providing Your Content through our Services, you grant Social Vandals a license to use it. We don't claim any ownership to Your Content, but we have your permission to use it to help Social Vandals function and grow. That way, we won't infringe any rights you have in Your Content and we can help promote your stuff.
c. By providing Your Content, you grant Social Vandals a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of Your Content to provide the Services and to promote Social Vandals and the Services in general, in any formats and through any channels, including across any Social Vandals Services or third-party website or advertising medium.
d. There are certain types of content we don't want posted through our Services (for legal reasons or otherwise). You agree that you will not provide or submit any content that is abusive, threatening, defamatory, obscene, vulgar or otherwise offensive or in violation of our published policies or Terms. You also agree not to provide any content that is false and misleading or uses the Services in a manner that is fraudulent or deceptive.
5. Access to the Services.
We reserve the right to modify or discontinue any Services or content with or without notice to the you. We do not guarantee continuous uninterrupted service or access to the Services and operation of the Services may be affected by numerous factors or circumstances outside of our control. We will not be liable to you for the effect that any changes to the Services may have on you, including your ability to generate revenue through the Services.
6. Use of the Services. As a condition of use, you promise not to use the Services for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Social Vandals.
Without limiting the preceding sentence, here are a few rules governing your use of the Services:
a. You must be 18 or older to use our Services. Otherwise, you may only use our Services under the supervision of a parent or legal guardian.
b. Provide accurate information about yourself. It's not acceptable to use false information or impersonate another person or company through your account.
c. You're solely responsible for any activity on your account. If you're sharing an account with other people, then the person whose email address is associated with the account will ultimately be responsible for all activity. If you're registering as a business entity, you personally guarantee that you have the authority to agree to the Terms on behalf of the business. Also, your accounts are not transferable.
d. Because you are solely responsible for any activity on your account, it's important to keep your account password secure.
e. These Terms don't create any agency, partnership, joint venture, employment or franchisee relationship between you and Social Vandals.
In addition, you are not allowed to:
a. Use Social Vandals' name, logo, trademark or branding in a way that confuses people about your affiliation with us;
b. Access, tamper with or use non-public areas of our Services, including our website, social media, our systems or our technical providers' systems;
c. Break or circumvent our security measures or otherwise test the vulnerability of our systems or networks;
d. Use any undocumented or unsupported method to access, search, scrape, download or change our Services or anything provided therein;
e. Try to reverse engineer any of our software, except as permitted by law;
f. Collect or store personally identifiable information from Social Vandals or its users without their permission;
g. Impersonate or misrepresent your affiliation with any person or entity, including Social Vandals; or
h. Encourage or help anyone do any of the things on this list.
7. Fees and Payments.
You are responsible for paying all fees that you owe to Social Vandals. You are also solely responsible for paying any applicable taxes for any purchases you make through our Services.
8. Limitation of Liability.
To the fullest extent permitted by law, neither Social Vandals, nor our directors, officers, employees, representatives, or agents shall be liable to you for any lost profits or revenues, or for any consequential, incidental, indirect, special or punitive damages arising out of or in connection with the Services or these Terms. It is further agreed that the limitation of any liability shall be the amount paid by you for services or products to social vandals.
9. Security.
While we work to protect the security of your content and account, Social Vandals cannot guarantee that unauthorized third parties will not be able to defeat our security measures. Please notify us immediately of any compromise or unauthorized use of your account. For accounts created on behalf of a company, organization, local government agency, or other entity, you are responsible for ensuring that only authorized individuals have access to the account.
10. Term and Termination.
These Terms will remain in full force and effect while you are in the contract and using the services. Social Vandals in its sole discretion, may terminate or suspend the service at any time for any reason or for no reason at all, without prior notice or liability to you.
11. General Terms.
Modification of Terms . Social Vandals reserves the right to determine the form and means of providing notifications to you, and you agree to receive legal notices electronically if we so choose. We may revise these Terms from time to time and the most current version will always be posted on our website.
Availability outside the US . Social Vandals makes no claims that the Services may be lawfully viewed or accessed outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If you use or subscribe the Services from outside of the United States, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. If you purchase or subscribe the Services from outside of the United States, you acknowledge that any personal information you provide will be processed in the United States and you hereby consent to the collection and processing of your personal information in a manner consistent with these Terms of Service and the Privacy Policy.
No Assignment or Unauthorized Use . These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Social Vandals without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.
Entire Agreement Severability . These Terms, together with the Privacy Policy and any additional agreements you may enter into with Social Vandals in connection with the Services, shall constitute the entire agreement between you and Social Vandals concerning the Services. If any provision of these Terms is deemed invalid, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
No Waiver . No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Social Vandals' failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
Governing Law; Jurisdiction and Individual Claim Arbitration.
These Terms are governed by the laws of the State of New York, without respect to its conflict of laws principles. The site user does further agree as a condition of use of this site, that the sole venue for any claim against social vandals, its employees or agents, shall be before a single arbiter and that the forum shall be the American arbitration association based within New York state. Any party utilizing the services of this site or those services or products offered by or through Social Vandals further agree that all claims shall be settled by individual arbitration of a single claimant before such arbitration tribunal as named above. Costs of arbitration shall be paid for by the claimant and divided equally if damages are found in claimants favor.
